AI in contract management: how CLM moves from documents to data

img
23 Oct

Contracts hold some of a company’s most important data: who committed to what, for how much, until when, and on what renewal terms. For years, that data stayed locked in PDF files that someone had to read again every time.

Artificial intelligence changed that. Today it can draft a first version, summarize a long contract, or tell you which contracts expire next quarter. But it only works well when contracts are organized. This guide explains what AI does inside a CLM, why it depends on data management, and which risks to manage.

Why AI took off in contract management

  • It is one of the areas with the greatest impact. According to Gartner, contract lifecycle management is, together with sourcing, the procurement area where generative AI will have the most impact. Gartner predicts that by 2027 half of organizations will support supplier contract negotiations with AI tools that analyze risk and edit contracts.
  • AI is already in almost every company, but few scale it. In McKinsey’s 2026 survey, nearly nine in ten organizations say they use AI in at least one business function, but only 44% are scaling it across the enterprise.
  • There is a lot of value at stake. World Commerce & Contracting estimates that companies typically lose 8.6% of contract value to poor contract management. Recovering even part of that justifies the investment.

What AI does inside a CLM

A CLM manages a contract end to end: drafting, approval, signature, obligations and renewal. AI adds value at several stages:

  • Drafting a first version from an instruction and from templates approved by the legal team.
  • Improving clauses: simplifying them, changing the tone or translating them without leaving the contract.
  • Summarizing long contracts for whoever needs to approve them.
  • Reviewing risk: flagging clauses that deviate from company standards and proposing alternatives.
  • Extracting data such as dates, amounts, counterparties and obligations, so it can feed alerts and reports.
  • Answering questions about the repository in plain language, for example which signatures have been pending for more than ten days.

AI depends on data

Gartner warns that through 2026, organizations will abandon 60% of AI projects that are not supported by AI-ready data, and that 63% of organizations either do not have, or are unsure whether they have, the right data management practices. World Commerce & Contracting reaches a similar conclusion: the main barriers to using AI in contracting are data security and data quality.

For contracts, AI-ready data means:

  • A single repository, instead of contracts scattered across email, folders and desktops.
  • Clear versions: which contract is in force and which amendments belong to it.
  • Key data captured (counterparty, amounts, dates, owner), not only inside the PDF.
  • Permissions: who can see each contract. AI must respect the same permissions as people.
  • Traceability: a record of who created, approved, signed and viewed each document.

That is document management and governance. That is why AI in a CLM starts with organizing document operations, not with the model.

What to watch

Human review. AI can make mistakes when summarizing or drafting. Key figures and clauses should be reviewed before signing or presenting them to a board, a client or a court.

Personal data. Contracts contain personal data about employees, customers and legal representatives. In Europe, that falls under the GDPR. In Chile, Law 21.719 takes effect on December 1, 2026, although a bill to postpone it to December 1, 2027 is in the Senate. In Brazil, the LGPD has applied since 2020. In every case, AI should work inside systems with permissions and audit logs, and contracts should not be pasted into public tools without controls.

AI regulation. The EU AI Act entered into force on August 1, 2024. Its bans on unacceptable-risk practices have applied since February 2025 and its transparency obligations since August 2026. After the 2026 Digital Omnibus, the obligations for the high-risk systems listed in Annex III apply from December 2, 2027. In Chile, a risk-based AI bill has been in the Senate since October 2025.

From chat to workflow: connectors and agents

The next step is for AI assistants to query company systems directly, instead of receiving copied documents. That is what the Model Context Protocol (MCP) is for: an open standard now managed by the Agentic AI Foundation, part of the Linux Foundation, and adopted by ChatGPT, Gemini and Microsoft Copilot, among others.

The key is that the connector respects each user’s permissions and logs every query.

How Legale AI does it

Legale AI brings AI to every stage of the contract inside Legale CLM:

  • Smart Documents: creates a contract from an instruction, lets you review it and turns it into a reusable template. Nothing goes into the document without the user’s approval.
  • AI editing: summarizes, improves, simplifies, expands or shortens a clause, with five tones and two styles, and translates it inside the contract into nine languages.
  • Assistant: answers questions about using the platform.
  • Ask Legale: an MCP connector to query documents and signatures from Claude, GitHub Copilot or ChatGPT. It is read-only, uses each user’s permissions and logs every query. Signing and editing stay in Legale.

In addition, Legale’s AI-assisted drafting operates under a management system certified to ISO/IEC 42001, the first international standard for managing artificial intelligence systems, published in 2023.

The principle is simple: AI assists with drafting and searching; legal review stays with your team.

How to get started

  1. Organize the repository: all contracts in one place, with versions and key data.
  2. Set rules: what AI can see, who approves what it proposes and what gets logged.
  3. Start with low-risk uses: summaries, translations and drafts from approved templates.
  4. Measure: drafting and review time, pending signatures and expirations caught in time.

To see the basics, read what a CLM is.

Frequently asked questions

What does AI do in a CLM?

It helps draft, improve, summarize and translate contracts, review risk and answer questions about the repository in plain language.

Does AI replace lawyers?

No. AI speeds up drafting and searching, but it can make mistakes. Legal review and the final decision stay with people.

Why does AI need organized data?

Because it answers with what it finds. Gartner predicts that through 2026, 60% of AI projects without AI-ready data will be abandoned.

Is it safe to use AI with contracts?

It depends on the tool. It should respect each user’s permissions, log every query and not require copying contracts into public tools.

What is MCP?

The Model Context Protocol is an open standard for connecting AI assistants to company systems, such as a CLM, with permissions and a log of every query.

Which rules apply to AI?

In the European Union, the AI Act, with high-risk obligations from December 2, 2027. In Chile, an AI bill is in the Senate. Personal data in contracts is covered by laws such as the GDPR, Chile’s Law 21.719 and Brazil’s LGPD.
